Master Service Agreement (MSA)
The umbrella agreement with a corporate client that sets general terms. Each project then runs as a Statement of Work under the same MSA.
Solution by industry, B2B service businesses
MSAs, SOWs, NDAs, employee onboarding, and vendor agreements signed in hours, not weeks. Corporate templates, a centralized audit log, and a REST API with webhooks to integrate with your CRM or ERP. Teams plan at $8 per seat per month.
What slows down your close and your compliance
You send the contract by email, it comes back with edits, a blurry scan, a signature on the wrong page. The close drags on and billing slips with it.
Everyone builds their own version of the MSA or SOW. Legal loses control, and inconsistent clauses across clients create real contractual risk.
Offer letter, NDA, privacy policy, confidentiality addendum. A new hire spends their first day signing paper instead of getting to work.
Terms agreed on verbally or in a chat thread. Without a signed contract, a dispute over service or payment has no evidentiary backing.
Document types
B2B contracts signed under the ESIGN Act and UETA. Corporate agreements closed with a client or vendor in under 48 hours. The legal content stays the responsibility of your internal legal team or outside counsel.
The umbrella agreement with a corporate client that sets general terms. Each project then runs as a Statement of Work under the same MSA.
Project-specific scope, milestones, dates, deliverables, and fees. Signed for each new engagement under the active MSA.
Before sharing sensitive information during a discovery call or a pilot. A fast signature from the prospect's representative, often same-day.
Offer letter, NDA, privacy policy, image-use authorization, and handbook acknowledgment, all signed before day one.
Agreements with freelancers, outside agencies, consultants, and suppliers — SLA, payment terms, confidentiality, and IP ownership.
A notice goes out 30 days before expiration. The client signs the renewal with one click and the term extends without renegotiating everything.
Differentiators for service businesses
Every rep, manager, or member of legal gets their own login. Templates are shared, the audit log is centralized, and the admin sets roles and permissions.
Create documents, send them for signature, check status, and download signed PDFs from your own software. Full documentation at kligrafia.com/docs/api.
Notify HubSpot, Salesforce, Pipedrive, or your ERP the moment a document is signed. Close deals automatically, trigger billing, or advance the ticket to the next step.
Legal defines the approved version of the MSA, SOW, NDA, and offer letter. Sales and HR use the templates without touching a clause. Updates propagate automatically.
A complete record of every document: who signed, when, from where, and with what identity level. Exportable to CSV for regulatory reporting or an internal audit.
Logo, colors, and contact details on invitation emails and signed PDFs. Clients see your company's identity, not a generic signing tool.
Recommended plan for service businesses
For B2B operations and HR
Multiple users under one organization with corporate templates, an audit log, and a REST API.
For companies with advanced compliance needs
SSO, a custom DPA, a contractual SLA, multi-organization support, and dedicated support.
How it works
Initial setup
MSA, SOW, NDA, and offer letter loaded as versioned templates. Roles assigned to each member of the team.
Day to day
Load the template with the client's or employee's details, add signers, and send. Your CRM can trigger the send through the API if it's integrated.
Close & file
Once every signer completes, the PDF is stored with its audit trail and the webhook updates the deal in HubSpot, Salesforce, or your ERP.
Yes, in every state. The ESIGN Act (15 U.S.C. §7001) gives an electronic signature the same legal effect as a handwritten one, and UETA — adopted by 49 states, with New York using its own equivalent statute, ESRA — reinforces that at the state level. MSAs, SOWs, NDAs, and other B2B contracts signed on Kligrafia carry that same evidentiary weight, as long as the signer's identity and the document's integrity can be established.
Teams includes a REST API with an OpenAPI 3.1 spec and webhooks signed with HMAC-SHA256. Your CRM (HubSpot, Salesforce, Pipedrive) or ERP triggers document creation, Kligrafia routes it for signature, and on completion a webhook notifies your system to update the deal. Technical documentation is at kligrafia.com/docs/api.
Teams starts at 3 seats at $8/seat/month ($24 minimum). Each seat is a user with their own login. Assign one seat to legal or HR to build templates and manage the organization; the other two go to sales or operations, sending documents. Add seats as the team grows — no plan change required.
Yes. The visual builder lets legal build corporate templates — MSA, SOW, NDA, offer letter, vendor agreement. Templates are shared across the organization; sales and HR use the approved versions without rewriting clauses. Any update propagates automatically to future sends.
The organization admin sees the audit log for every document sent: who sent it, when it was signed, the signer's IP, device, approximate location, and KYC level. Every signed document has its own evidence report PDF with a SHA-256 hash, a timestamp, and public verification at kligrafia.com/verify. Data is exportable to CSV.
SSO (Google Workspace, Microsoft 365, Okta, Azure AD) is available on the Enterprise plan. Teams uses email and password login with optional 2FA. If your compliance requirements call for SSO across the whole organization, contact us about upgrading to Enterprise.
Documents are stored on Cloudflare R2 with encryption at rest. The privacy policy is at kligrafia.com/us/legal/privacy and the DPA (Data Processing Agreement) at kligrafia.com/us/legal/dpa. Companies with specific data-retention requirements can arrange custom DPA terms on Enterprise.
Yes. Electronic signature works globally from any browser. Your client, vendor, or employee anywhere signs from their email with nothing to install. Validity in each jurisdiction follows that jurisdiction’s own framework — the ESIGN Act and UETA domestically, eIDAS in the EU, Ley 527 in Colombia, and so on. Most frameworks accept a simple electronic signature for private B2B agreements.
Activate Teams with 3 seats, load your corporate templates, and send the first MSA. Your client signs from their email in under 48 hours.
