Terms of Service (United States)

These terms govern your use of Kligrafia if you signed up as a customer in the United States. They are a complete, standalone document for the U.S. market: for you, they replace any general terms published for other countries.

1. Acceptance of these terms

By creating an account, subscribing to a plan, or using any feature of Kligrafia from the United States (the “Service”), you agree to these Terms of Service, our Privacy Policy and, if you act on behalf of an organization, our Data Processing Addendum (DPA). If you do not agree, you must not use the Service.

If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these terms. In that case, “you” also refers to that organization.

2. The contracting party: Those Who Build Dreams, Inc.

For customers in the United States, Kligrafia is provided by Those Who Build Dreams, Inc., a company incorporated in the United States of America.

Didi Solutions C.A., the Venezuelan company that operates Kligrafia for the Venezuelan market, is not a party to this agreement or to any relationship with customers in the United States. Any reference to Didi Solutions C.A. elsewhere on this site relates exclusively to the service provided in Venezuela and does not apply to you.

3. Description of the Service

Kligrafia is a SaaS (software-as-a-service) platform that lets individuals and businesses sign PDF documents electronically, collect signatures from other parties, verify the identity of signers, and generate auditable cryptographic evidence of each transaction.

The Service includes, among other things: a field editor for documents, envelope sending for signature, email and OTP verification, government-ID verification with OCR and biometrics, an audit trail, timestamping, PDF Evidence Report generation, PDF tools, and credit-based AI features.

The specific features available depend on your plan and may be updated, added, or removed with prior notice.

4. Accounts, organizations, and roles

To use the Service you must create an account with a valid email address. You are responsible for keeping your credentials confidential and for any activity under your account.

Accounts may belong to an organization, in which case there are distinct roles (owner, administrator, member, guest). The owner is the commercial holder of the subscription and the only one who can change the plan or cancel the organization's account.

You must notify us immediately if you become aware of any unauthorized use of your account. We are not responsible for losses arising from a failure to meet this obligation.

5. Pricing and billing (USD)

Paid plans for the United States are quoted and charged in U.S. dollars (USD). Prices, limits, and included credits are published at /us/pricing. Applicable sales tax, where required, is calculated and shown at checkout; it is not included in the listed price.

  • Renewal: monthly plans renew automatically every month; annual plans renew every year, at a discounted rate.
  • Plan changes: upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing cycle.
  • Receipts: we send a payment receipt for every charge; it is not a formal invoice and is provided for your records.
  • Failed payment: if a payment fails, we may suspend your account or downgrade it to the free plan after prior notice.

6. Legal validity of signatures

Kligrafia produces electronic signatures in the sense of the ESIGN Act (15 U.S.C. §7001 et seq.) and the UETA. The full detail of how we meet that framework, its requirements, and its limits is in our compliance page: ESIGN Act & UETA compliance at Kligrafia.

Kligrafia is not a notary public and does not provide notarization or Remote Online Notarization (RON). For acts that expressly require a notarized signature, you must use a commissioned notary.

7. Identity verification (KYC)

Some features of the Service require verifying a signer's identity through a government-issued ID (driver's license or passport), OCR data extraction, and biometric comparison with a liveness check. By going through the KYC process you authorize the processing of your personal and biometric data for the sole purpose of verifying your identity and producing auditable evidence of the signature, as detailed in our Privacy Policy. Biometric verification is optional: you may choose a verification level that does not require it, when the document you are signing allows it.

8. Complaints

For any complaint related to the Service, write to us at [email protected]. We aim to acknowledge and respond to complaints within a reasonable time, generally within ten (10) business days. If your request needs more time due to its complexity, we will let you know before that period ends, explaining why and when to expect a response.

9. Acceptable use

You agree not to use the Service to:

  • upload documents whose signing is unlawful or contrary to public policy (money laundering, terrorist financing, contracts for illegal goods, and the like);
  • impersonate a third party or falsify data during the KYC process;
  • send test signatures without the real, informed consent of the final signer;
  • compromise the security or integrity of the platform (automated scanning, reverse engineering, denial-of-service attacks);
  • redistribute, resell, or sublicense the Service without our express written consent;
  • upload content that infringes third-party rights, contains malware, or violates applicable law.

We may suspend or terminate your account for any breach of this clause, without prejudice to any legal remedies available to us.

10. Your content and documents

You retain ownership of all documents, data, and signatures you upload to the Service (“Customer Content”). You grant us a limited, non-exclusive, worldwide, revocable license to store, process, and transmit that Content solely to provide the Service.

You are solely responsible for the legality, accuracy, and timeliness of your Customer Content, and for obtaining any consents needed from signers, including consent to process personal data when you are the one collecting that data through the Service.

We store signed documents and their associated evidence for as long as your subscription is active, plus any applicable legal retention periods. When you cancel your account, you can export your information during a grace period before it is deleted.

11. Intellectual property

The Service, its code, design, trademarks, logos, and documentation are the property of Those Who Build Dreams, Inc. or its licensors and are protected under applicable intellectual property laws.

No intellectual property rights are transferred to you merely by using the Service. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription.

12. Personal data and data processing

The processing of personal data is governed by our Privacy Policy and, for business customers who process third-party data through the Service, by our Data Processing Addendum (DPA).

We apply reasonable technical and organizational measures to protect data: encryption in transit and at rest, role-based access control, audit logging, and periodic backups.

13. Availability and support

The Service is provided “as is” and “as available.” We make reasonable efforts to maintain high availability but do not guarantee uninterrupted or error-free operation. Enterprise and Unlimited plans may include a specific SLA, in which case that document controls over this clause.

14. Limitation of liability

To the maximum extent permitted by applicable law, the total aggregate liability of Those Who Build Dreams, Inc. to you for any claim arising out of the Service is limited to the amounts you actually paid during the twelve (12) months preceding the event giving rise to the claim. Nothing in this section limits any right that applicable law does not allow to be limited or waived.

In no event will we be liable for indirect damages, lost profits, loss of business opportunities, data loss attributable to acts of the customer, or for the evidentiary weight a court ultimately gives or denies to a document signed on the platform, provided we have met the technical obligations of the Service.

15. Suspension and termination

You may cancel your subscription at any time from the billing portal; cancellation takes effect at the end of the current billing cycle. After cancellation, we may retain your data for applicable legal retention periods and delete it afterward.

We may suspend or terminate your account, with prior notice when reasonable, in the following cases: material breach of these terms, failure to pay, a valid request from a competent authority, or a serious risk to the security of the platform or other users.

16. Changes to these terms

We may update these terms when necessary for legal, regulatory, or product reasons. We will notify you of material changes by email or through a visible notice in the platform at least fifteen (15) days in advance. Continued use of the Service after the effective date of a change constitutes acceptance of the modified terms.

17. Governing law and venue

These terms are governed by the laws of the [U.S. state of incorporation of Those Who Build Dreams, Inc. — pending], without regard to its conflict-of-laws principles. Any dispute you are unable to resolve informally through the contact channels below will be brought exclusively in the state or federal courts located in that state, and you consent to personal jurisdiction and venue there.

Nothing in this section limits any consumer-protection right that applicable law does not allow to be waived by contract.
